1. Identificação das partes e definições

Este Contrato de Licença de Usuário Final ("EULA" ou "Contrato") é celebrado entre você ("Você", "Usuário" ou "Licenciado") e a HAIHDUB INTERMEDIAÇÃO DE NEGÓCIOS EMPRESARIAIS LTDA, inscrita no CNPJ sob o nº 34.122.935/0001-62, com sede na Rua Theodósio Rodrigues Otero, 114, Jaguariúna, São Paulo, CEP 13917-154 ("Haihdub", "nós", "nosso" ou "nossa").

Definições:

  • Software ou Raceassay: o aplicativo Windows-native Raceassay, incluindo o processo daemon de overlays, o aplicativo Crucible, ferramentas auxiliares, bibliotecas, arquivos de dados, documentação e atualizações fornecidas pela Haihdub.
  • Serviço: os componentes online operados pela Haihdub que suportam o Software, incluindo autenticação, processamento de pagamento, emissão e validação de licenças e verificação periódica (heartbeat).
  • Licença: a autorização de uso do Software concedida nos termos deste Contrato.
  • Dispositivo: um computador individual identificado pelo seu identificador de hardware (fingerprint).

2. Aceitação

Ao marcar a opção de aceite durante a instalação, instalar, copiar ou de qualquer forma utilizar o Software, Você declara que leu, entendeu e concorda em vincular-se a este Contrato. Caso não concorde, não instale nem utilize o Software. Se Você utiliza o Software em nome de uma pessoa jurídica, declara possuir poderes para vinculá-la a este Contrato.

3. Licença concedida

Sujeito ao cumprimento integral deste Contrato e, quando aplicável, à existência de assinatura ativa, a Haihdub concede a Você uma licença pessoal, limitada, não exclusiva, intransferível, revogável e não passível de sublicenciamento para instalar e utilizar o Software em dispositivos de sua titularidade ou controle, exclusivamente para fins lícitos.

O Software é licenciado, não vendido (Lei nº 9.609/1998 — Lei de Programa de Computador). A Haihdub e seus licenciadores retêm todos os direitos não expressamente concedidos.

4. Assinatura, ativação e dispositivos

Determinadas funcionalidades dependem de assinatura paga. Há um modo gratuito com funcionalidades reduzidas e um modo pago liberado mediante assinatura ativa.

  • A licença é emitida e validada por meio de assinatura criptográfica (Ed25519).
  • Cada licença permite 1 (um) dispositivo ativo simultaneamente. A troca de dispositivo é livre e gratuita, sem limite de trocas, por meio das ferramentas disponibilizadas pela Haihdub.
  • A assinatura é renovada automaticamente ao fim de cada ciclo, salvo cancelamento prévio. Você pode cancelar a renovação automática a qualquer momento na área de cobrança (billing); o acesso pago permanece até o fim do ciclo já pago.
  • O Software envia verificações periódicas (heartbeat) ao Serviço para validar a licença e o dispositivo associado.

5. Direito de arrependimento e reembolso

Consumidores no Brasil (Art. 49 do CDC — Lei nº 8.078/1990): Você tem o direito de desistir da compra em até 7 (sete) dias corridos a partir da data do pagamento, recebendo 100% do valor pago de volta, sem necessidade de justificativa. Para solicitar, envie e-mail para [email protected] com o assunto "Reembolso" e o e-mail da sua conta; o processamento ocorre em até 5 dias úteis. Após o período de 7 dias, a assinatura permanece ativa até o fim do ciclo pago, podendo a renovação automática ser cancelada a qualquer momento.

Consumidores na União Europeia (Diretiva 2011/83/UE): Você dispõe de prazo de 14 (catorze) dias para resolver contratos celebrados à distância. Tratando-se de conteúdo/serviço digital com execução imediata, ao adquirir Você consente expressamente com o início imediato da prestação e reconhece que perde o direito de arrependimento após a execução integral. Não havendo tal consentimento, prevalece o prazo de 14 dias.

6. Propriedade intelectual

O Software, incluindo seu código, design, interfaces, marcas, logotipos e a marca Raceassay, é de titularidade exclusiva da Haihdub e/ou de seus licenciadores e é protegido pela legislação brasileira e por tratados internacionais. Este Contrato não transfere a Você qualquer direito de propriedade intelectual, salvo a licença de uso aqui prevista.

7. Componentes de terceiros e software de código aberto

O Software incorpora componentes de terceiros e de código aberto (por exemplo, .NET Runtime, Vortice.Windows, Silk.NET, SQLite, ZstdSharp, MessagePack-CSharp), cada qual regido por sua própria licença. As respectivas licenças prevalecem sobre este Contrato no que se refere a tais componentes e estão disponíveis na documentação do Software ("Open Source Licenses").

8. Privacidade e proteção de dados

A Haihdub atua como controladora dos dados pessoais tratados em conexão com o Software, nos termos da LGPD (Lei nº 13.709/2018) e, quando aplicável, do GDPR (Regulamento (UE) 2016/679).

  • Dados tratados: fingerprint do dispositivo (hash irreversível, sem os identificadores de hardware em si), dados de verificação periódica (heartbeat: identificador da licença, fingerprint, hash do binário, versão, IP de conexão) e dados de conta (e-mail e hash da senha) necessários à autenticação. O número do cartão nunca é armazenado pela Haihdub (processado pelo Stripe).
  • Telemetria de jogo permanece 100% local: os dados de telemetria lidos da memória compartilhada dos simuladores não são transmitidos à Haihdub e permanecem no seu dispositivo.
  • Direitos do titular: Você pode exercer os direitos previstos nos arts. 17 e 18 da LGPD e nos arts. 15 a 22 do GDPR (acesso, correção, eliminação, portabilidade, oposição, entre outros). Residentes da Califórnia/EUA dispõem ainda dos direitos previstos no CCPA/CPRA.

9. Restrições de uso e engenharia reversa

Você não deverá: (a) sublicenciar, vender, alugar, emprestar ou redistribuir o Software; (b) remover avisos de propriedade; (c) contornar mecanismos de licenciamento, verificação ou proteção; (d) utilizar o Software para fins ilícitos. Você não deverá realizar engenharia reversa, descompilação ou desmontagem do Software, exceto e estritamente na medida em que tal restrição seja vedada por lei — em especial as hipóteses de interoperabilidade asseguradas pela Lei nº 9.609/1998 e pela Diretiva 2009/24/CE da União Europeia.

10. Jogos de terceiros e isenção de afiliação

O Software interopera com os simuladores Assetto Corsa Competizione, Assetto Corsa EVO e Le Mans Ultimate. A Haihdub não é afiliada, patrocinada ou endossada por Kunos Simulazioni, Motorsport Games, Studio 397 ou quaisquer detentores dos referidos jogos e marcas. O Software utiliza exclusivamente memória compartilhada documentada e janelas sobrepostas, sem hooking, injeção de código ou leitura de memória de processo. O uso do Software com tais jogos é por sua conta e risco, devendo Você observar os termos de uso e as políticas anti-cheat dos respectivos jogos.

11. Isenção de garantias

O Software é fornecido "NO ESTADO EM QUE SE ENCONTRA" ("AS IS"), sem garantias de qualquer natureza, expressas ou implícitas, incluindo adequação a finalidade específica, compatibilidade com versões ou atualizações dos jogos, disponibilidade ininterrupta ou ausência de erros. Esta isenção não afasta as garantias legais inafastáveis asseguradas ao consumidor pelo Código de Defesa do Consumidor.

12. Limitação de responsabilidade

Na máxima extensão permitida pela lei aplicável, a Haihdub não responde por danos indiretos, incidentais, especiais, lucros cessantes, perda de dados ou danos emergentes decorrentes do uso ou da impossibilidade de uso do Software; e a responsabilidade total agregada da Haihdub limita-se ao valor efetivamente pago por Você pela assinatura nos 12 meses anteriores ao evento. As limitações deste item não se aplicam ao que não pode ser limitado ou excluído por lei, em especial nas relações de consumo regidas pelo Código de Defesa do Consumidor, nem a dolo ou culpa grave.

13. Controle de exportação (EUA)

Você declara cumprir as leis de controle de exportação aplicáveis, incluindo o U.S. Export Administration Regulations (EAR) e as sanções administradas pelo OFAC, e que não está localizado em país sob embargo nem consta em listas de partes restritas. Você não utilizará o Software em violação a tais normas.

14. Rescisão

Este Contrato vigora enquanto Você utilizar o Software. A licença pode ser revogada ou rescindida em caso de violação deste Contrato, encerramento da assinatura ou uso abusivo (por exemplo, compartilhamento indevido da licença). Com a rescisão, Você deve cessar o uso e desinstalar o Software. As cláusulas que, por sua natureza, devam subsistir (propriedade intelectual, isenções, limitações, foro) permanecem em vigor.

15. Alterações deste Contrato

A Haihdub poderá atualizar este Contrato para refletir mudanças legais, técnicas ou de negócio. Alterações relevantes serão comunicadas por meios razoáveis (no Software, por e-mail ou no website). O uso continuado após a vigência da nova versão implica concordância.

16. Lei aplicável e foro

Este Contrato é regido pelas leis da República Federativa do Brasil. Fica eleito o foro da Comarca de Blumenau/SC para dirimir controvérsias decorrentes deste Contrato. Nas relações de consumo, fica ressalvado o direito do consumidor de demandar no foro de seu domicílio, nos termos do art. 101, I, do Código de Defesa do Consumidor.

1. Parties and definitions

This End User License Agreement ("EULA" or "Agreement") is entered into between you ("You", "User" or "Licensee") and HAIHDUB INTERMEDIAÇÃO DE NEGÓCIOS EMPRESARIAIS LTDA, registered under Brazilian taxpayer ID (CNPJ) No. 34.122.935/0001-62, with its registered office at Rua Theodósio Rodrigues Otero, 114, Jaguariúna, São Paulo, Brazil, ZIP 13917-154 ("Haihdub", "we", "us" or "our").

Definitions:

  • Software or Raceassay: the Raceassay Windows-native application, including the overlay daemon process, the Crucible application, helper tools, libraries, data files, documentation and updates provided by Haihdub.
  • Service: the online components operated by Haihdub that support the Software, including authentication, payment processing, license issuance and validation, and periodic verification (heartbeat).
  • License: the authorization to use the Software granted under this Agreement.
  • Device: an individual computer identified by its hardware fingerprint.

2. Acceptance

By accepting during installation, installing, copying or otherwise using the Software, You represent that You have read, understood and agree to be bound by this Agreement. If You do not agree, do not install or use the Software. If You use the Software on behalf of an entity, You represent that You have authority to bind that entity to this Agreement.

3. License grant

Subject to full compliance with this Agreement and, where applicable, an active subscription, Haihdub grants You a personal, limited, non-exclusive, non-transferable, revocable and non-sublicensable license to install and use the Software on devices You own or control, solely for lawful purposes.

The Software is licensed, not sold (Brazilian Software Law No. 9,609/1998). Haihdub and its licensors retain all rights not expressly granted.

4. Subscription, activation and devices

Certain features require a paid subscription. A free mode with reduced features is available, and a paid mode is unlocked upon an active subscription.

  • The license is issued and validated through cryptographic signing (Ed25519).
  • Each license allows one (1) active device at a time. Switching devices is free and unlimited through the tools provided by Haihdub.
  • Subscriptions renew automatically at the end of each cycle unless cancelled beforehand. You may cancel auto-renewal at any time in the billing area; paid access continues until the end of the already-paid cycle.
  • The Software sends periodic verifications (heartbeat) to the Service to validate the license and the associated device.

5. Right of withdrawal and refund

Consumers in Brazil (Art. 49 of the Consumer Protection Code — Law No. 8,078/1990): You have the right to withdraw from the purchase within 7 (seven) calendar days from the payment date and receive a full refund, with no need to justify. To request, email [email protected] with subject "Refund" and your account email; processing takes up to 5 business days. After the 7-day period, the subscription remains active until the end of the paid cycle, and auto-renewal may be cancelled at any time.

Consumers in the European Union (Directive 2011/83/EU): You have a 14 (fourteen) day period to withdraw from distance contracts. For digital content/services with immediate performance, upon purchase You expressly consent to the immediate start of performance and acknowledge that You lose the right of withdrawal once performance is complete. Absent such consent, the 14-day period applies.

6. Intellectual property

The Software, including its code, design, interfaces, trademarks, logos and the Raceassay brand, is the exclusive property of Haihdub and/or its licensors and is protected by Brazilian law and international treaties. This Agreement transfers no intellectual property rights to You other than the license of use set out herein.

7. Third-party and open-source components

The Software incorporates third-party and open-source components (e.g., .NET Runtime, Vortice.Windows, Silk.NET, SQLite, ZstdSharp, MessagePack-CSharp), each governed by its own license. Those licenses prevail over this Agreement with respect to such components and are available in the Software documentation ("Open Source Licenses").

8. Privacy and data protection

Haihdub acts as the data controller of personal data processed in connection with the Software, under Brazil's LGPD (Law No. 13,709/2018) and, where applicable, the GDPR (Regulation (EU) 2016/679).

  • Data processed: device fingerprint (an irreversible hash, not the hardware identifiers themselves); periodic verification data (heartbeat: license ID, fingerprint, binary hash, version, connection IP); and account data (email and password hash) necessary for authentication. The card number is never stored by Haihdub (processed by Stripe).
  • Game telemetry stays 100% local: telemetry data read from the simulators' shared memory is not transmitted to Haihdub and remains on your device.
  • Data subject rights: You may exercise the rights under LGPD arts. 17–18 and GDPR arts. 15–22 (access, rectification, erasure, portability, objection, among others). California (USA) residents also have the rights provided under the CCPA/CPRA.

9. Use restrictions and reverse engineering

You shall not: (a) sublicense, sell, rent, lend or redistribute the Software; (b) remove proprietary notices; (c) circumvent licensing, verification or protection mechanisms; (d) use the Software for unlawful purposes. You shall not reverse engineer, decompile or disassemble the Software, except and strictly to the extent such restriction is prohibited by law — in particular the interoperability cases secured by Brazilian Law No. 9,609/1998 and EU Directive 2009/24/EC.

10. Third-party games and no affiliation

The Software interoperates with the simulators Assetto Corsa Competizione, Assetto Corsa EVO and Le Mans Ultimate. Haihdub is not affiliated with, sponsored by or endorsed by Kunos Simulazioni, Motorsport Games, Studio 397 or any holders of those games and marks. The Software uses only documented shared memory and overlay windows, without hooking, code injection or process memory reading. Your use of the Software with those games is at your own risk, and You must comply with the respective games' terms of use and anti-cheat policies.

11. Disclaimer of warranties

The Software is provided "AS IS", without warranties of any kind, express or implied, including fitness for a particular purpose, compatibility with game versions or updates, uninterrupted availability or freedom from errors. This disclaimer does not waive the non-waivable statutory warranties granted to consumers under the Brazilian Consumer Protection Code.

12. Limitation of liability

To the maximum extent permitted by applicable law, Haihdub shall not be liable for indirect, incidental, special, consequential damages, lost profits or data loss arising from the use of or inability to use the Software; and Haihdub's total aggregate liability is limited to the amount You actually paid for the subscription in the 12 months preceding the event. The limitations in this section do not apply to what cannot be limited or excluded by law, in particular consumer relationships governed by the Brazilian Consumer Protection Code, nor to willful misconduct or gross negligence.

13. Export control (USA)

You represent that You comply with applicable export control laws, including the U.S. Export Administration Regulations (EAR) and sanctions administered by OFAC, and that You are not located in an embargoed country nor listed on any restricted-party list. You will not use the Software in violation of such rules.

14. Termination

This Agreement remains in effect while You use the Software. The license may be revoked or terminated upon breach of this Agreement, end of subscription or abusive use (e.g., improper license sharing). Upon termination, You must cease use and uninstall the Software. Clauses that by their nature should survive (intellectual property, disclaimers, limitations, venue) remain in effect.

15. Changes to this Agreement

Haihdub may update this Agreement to reflect legal, technical or business changes. Material changes will be communicated by reasonable means (in the Software, by email or on the website). Continued use after the new version takes effect constitutes acceptance.

16. Governing law and venue

This Agreement is governed by the laws of the Federative Republic of Brazil. The courts of the District (Comarca) of Blumenau, State of Santa Catarina are elected to resolve disputes arising from this Agreement. In consumer relationships, the consumer's right to sue in the forum of their own domicile is preserved, under art. 101, I, of the Brazilian Consumer Protection Code.
